Terms of Service

1. Governing Law & Jurisdiction: These Terms are governed by the laws of the United States. For any disputes arising from sponsorships, trade agreements, or gear margins, the exclusive jurisdiction lies within the federal and state courts of California. You agree to waive any right to a jury trial and submit to the personal jurisdiction of those courts located in the State of California.

2. Dispute Resolution & Arbitration: All disputes regarding contract interpretation, brand strategy, or service termination shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in California, and you and Pinned MTB shall split all arbitration costs equally, unless the arbitrator finds the claim brought by the non-prevailing party to be frivolous or without merit.

3. Service Modifications: Pinned MTB reserves the right to modify these Terms at any time without prior notice. These modifications will apply immediately upon posting to the site. It is your responsibility to review these Terms periodically. Continued use of the platform after any modifications constitutes your acceptance of the updated Terms.

4. Indemnification: You agree to defend, indemnify, and hold harmless Pinned MTB and its affiliates from any claims, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the platform, your breach of these Terms, or your violation of any third-party rights.

5. Limitation of Liability: To the fullest extent permitted by law, Pinned MTB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; or (ii) any conduct or content of any third party on the Service.

6. Equitable Relief: You acknowledge that money damages may not be a sufficient remedy for any breach of these Terms and agree that Pinned MTB shall be entitled to seek immediate injunctive relief (including a preliminary and permanent injunction) without the necessity of proving actual damages or a bond.
