Robert Anton of Next Edge Capital highlights FTLPs as a vehicle for investor participation in critical-mineral projects.

A shift in Canada’s economic focus has turned critical minerals into a central pillar of national policy, and the federal government has responded by rolling out a series of tax incentives designed to draw new capital into the sector. Robert Anton, President and Founding Partner at Next Edge Capital Corp., points out that flow-through limited partnerships (FTLPs) can give investors a way to participate in critical-mineral projects while also unlocking substantial tax advantages that are built into the current legislative framework.

Anton notes that Canada has a long-standing tradition of offering tax breaks to support exploration and development activities carried out by domestic resource firms. In 2022 the government added an additional 30 percent tax credit specifically for work aimed at uncovering critical minerals, and this sits on top of an existing 100 percent core Canadian Exploration Expense deduction that already allows companies to write off the full cost of qualifying exploration work. The combination of these two measures creates a layered incentive structure that can dramatically improve the after-tax return profile for projects that meet the critical-mineral definition.

Critical Minerals Opportunity

Critical minerals represent a rapidly expanding market segment for Canada, especially as several key economies look to “friend-shore” the supply chains for resources they cannot produce domestically. The European defence industry, for instance, has publicly expressed interest in sourcing Canadian critical minerals as a way to reduce reliance on China and to secure a more stable supply of materials needed for advanced weaponry and aerospace components.

Canada’s competitive edge derives from a suite of attributes that include well-defined property-rights legislation, a transparent rule-of-law environment, rigorous safety standards, a skilled labour pool, and stringent environmental protections. These factors collectively make the country an appealing destination for investors seeking stable, long-term opportunities. The 2022 CMETC tax incentive further shows this appeal by formally designating 32 specific minerals as critical, thereby focusing policy support on a clear list of resources that are deemed essential for economic and security objectives.

Flow-Through Limited Partnerships

He argues that investors who fall into higher marginal tax brackets often achieve better outcomes by channeling capital through an FTLP rather than by purchasing shares of mining companies directly. While the cash-flow profile of an FTLP may not generate positive returns on a purely absolute basis, the tax-adjusted performance can be compelling because the partnership structure passes eligible expenses and credits directly to the investors.

The FTLPs offered by Next Edge are deliberately weighted toward critical minerals, with a composition of 75 percent critical to 25 percent precious. This weighting reflects the firm’s strategic focus on the sector that is receiving the strongest policy backing. The main driver of returns in these arrangements stems from the tax savings that flow through to the limited partners, making the vehicles attractive to those who want exposure to the sector but are wary of price volatility in the underlying commodities.

Investor Education

Anton emphasizes that client education is a cornerstone of responsible investing, particularly when it comes to the nuances of FTLPs. Many prospective investors lack hands-on experience with this vehicle; a sizable portion have never bought a flow-through partnership before, and others have not engaged in such transactions for 15 to 20 years. This knowledge gap means that advisors must spend additional time explaining how the tax mechanisms work, what the risk profile looks like, and why the partnership’s cash-flow characteristics differ from traditional equity investments.
